1.1. Interpretation
The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or plural.
1.2. Definitions
Application means the software program provided by the Company downloaded by You on any electronic device, named Healthy Plate.
Application Store means the digital distribution service operated and developed by Apple Inc. (Apple App Store) or Google Inc. (Google Play Store) in which the Application has been downloaded.
Affiliate means an entity that controls, is controlled by, or is under common control with a party, where 'control' means ownership of 50% or more of the shares, equity interest, or other securities entitled to vote for election of directors or other managing authority.
Country refers to: Taiwan.
Company (referred to as either 'the Company', 'We', 'Us', or 'Our' in this Agreement) refers to ShinYiLIan Co., Ltd., 7F-4, No. 77, Sec. 2, Dunhua S. Rd., Da'an Dist., Taipei City 106414, Taiwan (R.O.C.).
Device means any device that can access the Service such as a computer, cellphone, or digital tablet.
Service refers to the Healthy Plate Application.
Terms and Conditions (also referred as 'Terms') mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.
Third-party Social Media Service means any services or content provided by a third party that may be displayed, included, or made available by the Service.
You means the individual accessing or using the Service, or the legal entity on whose behalf such individual is accessing or using the Service.
2. Acknowledgment
These Terms and Conditions govern your use of the Service and set out the rights and obligations of all users. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not access the Service.
You represent that you are over the age of 18. The Company does not permit those under 18 to use the Service.
Your access and use of the Service is also conditioned on your acceptance of and compliance with our Privacy Policy, which describes our practices regarding the collection, use, and disclosure of your personal information.
3. Registration, Accounts, and Use of the Service
3.1. Who Can Use the Service
You must be at least 18 years old to use the Service. No individual under the age of 18 may use the Service or provide any personal information. We implement technical measures to prevent individuals under 18 from creating an account. If we become aware of such activity, we will investigate and take appropriate action.
3.2. Your Account
You may need to register for an account to access the Service. You agree to provide accurate, complete, and up-to-date information during registration and to maintain the confidentiality of your password. You are responsible for all activities that occur under your account. Please notify our Support Team immediately of any unauthorized use of your account.
3.3. Service Updates and Changes
We reserve the right to update, modify, or discontinue any part of the Service at any time without notice. Updates may be automatic, and failure to install updates may affect the functionality of the Service.
3.4. Termination
We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including any breach of these Terms. Upon termination, your right to use the Service ceases immediately.
4. Content Ownership and User-Generated Content
4.1. Ownership of Content
All content and materials provided through Healthy Plate—including images, designs, graphics, text, nutritional information, meal plans, workout routines, and other data—are the sole property of the Company or its licensors. You acknowledge that you do not acquire any ownership rights or licenses in such content, except as expressly granted herein.
4.2. User-Generated Content
“User-Generated Content” refers to any content (such as text, images, videos, workout logs, nutritional entries, or other data) that you or any other user submits or posts via Healthy Plate. You retain ownership of your User-Generated Content; however, by submitting or posting such content, you grant us and our affiliates a non-exclusive, irrevocable, royalty-free, worldwide, transferable, and sublicensable license to use, host, store, reproduce, modify, adapt, publish, display, distribute, and create derivative works from your content, solely for the purpose of operating, promoting, and improving Healthy Plate and for enabling other users to access and interact with such content.
You further acknowledge that:
We have the right to arrange, display, or edit User-Generated Content in any manner we deem appropriate.
No compensation will be provided to you for the use of your content.
You represent that you have the necessary rights to grant this license.
5. Fees and Premium Services
5.1. Overview of Premium Services
Healthy Plate offers additional features and enhanced functionalities through Premium Services. These services are available for purchase via in-app purchase on the Apple App Store and Google Play Store.
5.2. Subscription Fees and Billing
Billing Method: All payments for Premium Services are processed exclusively through in-app purchase mechanisms provided by the respective App Store.
Subscription Renewal: Your Premium subscription will automatically renew at the start of each billing cycle (monthly or annually) unless you cancel before the end of the current period.
Cancellation: To cancel your Premium subscription, you must use the cancellation process available in your App Store account settings. Upon cancellation, your access to Premium features will continue until the end of the current billing period.
Fee Changes: We reserve the right to modify Premium Service fees at any time. In the event of fee changes, we will notify you via in-app notification or email, and the new fees will apply to future billing cycles. If you disagree with the changes, you must cancel your subscription before the next billing cycle.
Refunds: All Premium Service purchases are final and non-refundable, except as required by applicable law or as otherwise expressly provided by us. In case of billing errors, please contact our Support Team.
5.3. Free Trials and Promotional Offers
We may offer free trial periods for Premium Services. You may be required to provide a valid payment method. If you do not cancel before the trial period expires, you will automatically be charged at the applicable rate. Promotional codes, discounts, or special offers may be available. Such offers cannot be combined with other discounts and must be redeemed before their expiration.
6. Content and Use Restrictions
6.1. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not modify, rent, lease, sell, distribute, or create derivative works based on the Service or any content therein without our express authorization. You also agree not to engage in data scraping, unauthorized copying, or any other form of exploitation that violates these Terms.
6.2. Community Guidelines
You agree to follow our Community Guidelines when using interactive features of the Service. Violations may result in termination or suspension of your account.
7. Health and Safety
7.1. Medical Disclaimer
Healthy Plate provides health and nutrition information for general informational purposes only and is not intended as a substitute for professional medical advice. Always consult a physician or qualified healthcare provider with any questions regarding your health, and do not solely rely on the data provided by Healthy Plate when making health or nutritional decisions.
7.2. Data Accuracy and AI-Generated Content Disclaimer
Healthy Plate has made every effort to provide the most accurate data estimates possible using current technology; however, due to inherent technological limitations, all numerical estimates are provided for reference purposes only.
Our food database has been thoroughly reviewed by nutrition experts from a national university to ensure that the nutritional values per 100 grams serve as a reliable basis for calculations. Nevertheless, the calorie and nutrient values provided remain estimates and may exhibit a certain degree of inaccuracy.
Furthermore, any AI-generated outputs, recommendations, or analyses offered by Healthy Plate are provided "as is" without any express or implied warranty regarding their accuracy, reliability, or completeness.
Users are advised to independently verify any information before making health or nutritional decisions.
7.3. User Responsibility
You are solely responsible for verifying the accuracy of any information provided by the Service and for managing your own health risks.
8. Dispute Resolution and Limitation of Liability
8.1. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Taiwan. Any dispute arising out of or relating to these Terms or your use of the Healthy Plate Service shall be resolved under Taiwanese law.
8.2. Dispute Resolution
Informal Resolution: In the event of any dispute, you agree to first attempt to resolve the matter informally by contacting our Support Team.
Binding Arbitration: If the dispute cannot be resolved informally, the dispute shall be submitted to binding arbitration in Taipei, Taiwan, conducted in accordance with the rules of a recognized arbitration institution agreed upon by both parties.
Small Claims: Notwithstanding the arbitration requirement, either party may bring claims in small claims court in Taiwan if the dispute falls within the applicable monetary limits.
8.3. Limitation of Liability
General Limitation: To the maximum extent permitted by applicable law, neither the Company nor its suppliers shall be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service.
Cap on Liability: In any event, the total liability of the Company for any claims arising under these Terms shall be limited to the greater of NT$10,000 or the amount you have paid for the Service in the past 12 months.
Disclaimer: The Service is provided 'AS IS' and 'AS AVAILABLE' without any warranties, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
9. Termination
We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including any breach of these Terms. Upon termination, your right to use the Service ceases immediately.
10. Miscellaneous
10.1. Links to Other Websites
Our Service may contain links to third-party websites or services that are not owned or controlled by the Company. We do not control and are not responsible for the content, privacy policies, or practices of such third-party websites or services. You are advised to review their terms and privacy policies.
10.2. Severability and Waiver
If any provision of these Terms is held to be unenforceable or invalid, such provision will be modified to accomplish its objectives to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect. The failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.
10.3. Translation Interpretation
These Terms and Conditions may have been translated if we have made them available in another language. In the event of any conflict between the translated version and the original English version, the English version shall prevail.
10.4. Changes to These Terms
We reserve the right to modify or replace these Terms at any time. If a material change is made, we will provide at least 30 days' notice before the new Terms take effect. By continuing to use the Service after the new Terms take effect, you agree to be bound by the revised Terms. If you do not agree to the new terms, please stop using the Service.
